Terms and Conditions:
We provide an online platform that advertises venues and facilities that are available to hire. The school/college or venue will agree to allow SHS Venue Finder Ltd (SHS) to market, advertise and supply hirers of the facilities at the venue for an agreed period.
By using our platform, you have acknowledged and agreed that you have understood and agreed to the Terms that we set out below and confirm your agreement to enter into and comply with a legally binding contract with us on these terms. However, if you do not agree to any part of these Terms, you do not have a right to use our platform.
Failure to use our Platform in accordance with these Terms may subject you to civil and/or criminal liabilities and/or penalties and/or ban from our Platform.
You must be at least 18 years old to use our Platform. By accessing or using our Platform, you represent and warrant that you are at least 18 years old.
- Key Terms used
“Core hours” shall mean the time from 7am to 5:30pm, Monday to Friday during the school term time or venue.
“Confirmed booking” shall mean a booking for which the venue has received a completed booking form and following which the hire takes place
“Hirer” means the person or organisation hiring the venue facilities
“Venue” means a location or set of locations of which the school/facility has operational control over, and for which SHS has advertised for hire
“Platform” – our website, mobile application and services through which Users (defined below) may learn about Venues and make Bookings with the Venues for which SHS has created Profiles and published their Rooms on our Platform for the purposes of making them available for Bookings.
“Content”- all works and materials (including without limitation text, graphics, images, audio material, video material, audio-visual material, scripts, software and files)
“Enquiries” means an enquiry is made when the following occur:
- a potential hirer contacts the facility by submitting their contact details to SHS in respect of hiring a venue
- a member of SHS contacts the venue on behalf of the potential hirer, whether by email, phone or face to face, in respect of a potential booking
- a member of SHS suggests the facility as a potential venue for hire
SHS provides an online platform that introduces users who wish to learn about venues and make bookings with the venues that have profiles and published their rooms on our platform for the purposes of making them available for bookings. SHS may provide services either online, by email, by telephone or through any other means.
Users make bookings through SHS which we will find the right venue for you. SHS representative will take into account users preferences and requirements and suggest a suitable venue for a user.
The school or venue will set the cost of the venue hire to the hirer whilst agreeing with SHS.
- Terms of Payment
SHS will issue commission invoices to the school or venue on a monthly basis. Payment will be made by the venue to SHS within twenty-eight (28) days of the invoice. Commission will be made by venue once they have received money from the hirer.
Alternatively the venue can pay an agreed fee for annual subscription for advertising of the venues facilities that are available for hirer.
All payments due to SHS will be subject to VAT at the prevailing rate in force at such time as payment becomes due.
- Health and Safety
The venue will undertake to ensure that all hirers are familiar with the venues expectations in relation to Health and Safety and that all hires of the venue are conducted in line with current Health & Safety and any other appropriate legislation. The venue is responsible for ensuring the venue and fixtures and fittings are in a clean and tidy condition and in good working order. SHS has no responsibility for the booking, hirer, venue and or its facilities and is not responsible for any damage, injury or loss to or occurring at the venue.
- Marketing and Advertising
SHS will be responsible for the marketing and advertising of the venue for the purpose of supplying hirers of the facilities. SHS will use its sales team, digital and social media platforms for this purpose. The venue will be responsible for arranging and conducting tours of the facilities to potential hirers.
The school or venue is responsible for ensuring the hirer has adequate insurance in place for the purpose of hiring the venue facilities, suitable to the event taking place, which protects the venue against loss or injury which may occur to any property or person arising from the hire.
- Limitation of Liability
Once the booking form is completed and returned to the venue or school, they will together with hirer deal directly with one another for the purpose of arranging the initial hire and subsequent hires, and SHS shall have no liability whatsoever in relation to the contractual dealings between the venue and hirer.
SHS shall have no authority, and shall not hold itself out, as being authorised to bind the school in any way, and shall not do any act which might reasonably create the impression that SHS is so authorised. SHS shall not make or enter into any commitments for or on behalf of the venue.
The venue agrees that if for any reason a hirer is not content with the facility, the hirer’s claim is against the venue and the venue alone.
For the avoidance of doubt, SHS shall not be liable for any loss or damage caused to the school and or venue facilities arising from the actions or default of any hirer for whatever reason whatsoever.
- Permitted times of hire
The venue agrees to allow SHS to supply hirers of the facilities outside of core working hours or agreed times by the venue.
- Listing your space
If a listing is to be created for your space, you will be asked a variety of questions about the space or venue to be listed which will include, but not limited to, capacity, size, location, availability, additional terms, pricing and will include financial terms including any additional taxes not included in the pricing. All the listing via the site must have a valid physical address. Listings will be made publicly available via the site and services and others will be able to book your space/ venue based upon the information provided in your listing.
- Authority to hire
The venue reserves the right to not accept any booking of the venue that it deems is not appropriate or in line with the ethos of the school or facility. SHS will seek agreement from the school or facility before confirming a booking of the venue with any new hirer. Once a new booking is agreed, SHS will arrange for a booking form to be completed and returned to the school or venue.
The venue is responsible for ensuring the hirer has gained any licence required for the event taking place at the venue, if appropriate.
- Publishing Venues and Rooms
The venue is responsible for providing and maintaining accurate, current, complete and non-misleading details about the venue and spaces, such as address, capacity, facilities and photos. We strongly advice you to promptly supply us details if any changes take place.
SHS may produce content for venues and rooms using photos and information available publicly. You will be responsible for reviewing such content and ensuring it is true, accurate, current, complete and non-misleading.
SHS does not claim ownership of your content. However, you grant to us a worldwide, irrevocable, non-exclusive, perpetual, royalty – free licence to:
- Use your content that you provided to us or that you made publicly available for our own marketing, advertising and commercial purposes.
- Licence to use website
- View pages from our website in a web browser;
- Print pages from our website;
- Stream audio and video files from our website;
- Download pages from our website for caching in a web browser;
- Use our website servicers by means of a web browser, subject to the provisions of these terms.
You must not:
– download or save any such material from our website to your computer;
– use our website in any way that causes damage to the website or of the performance, availability or accessibility of the website;
– use our platform in any way that is illegal, unlawful, fraudulent or harmful;
– use data collected from our website or mobile application for any direct marketing material.
You may only use our platform for your own personal and business purposes and you must not use our platform for any other purposes.
It is important that all the information you supply to us through our platform, is true, accurate, current and complete and non- misleading. You must not use data collected from our website to contact individuals, companies or persons or entities.
We reserve the right to restrict access to areas of our website at our discretion which you must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on our platform.
- Data Processing
For the purposes of administration, it will be necessary for the school or venue and SHS to hold and process personal data on the hirers of the facilities. The data will be held for the duration of the hire agreement between the venue and the hirer and for any longer period to enable the venue or SHS to answer any questions relating to the hire.
The venue and SHS undertake that every care will be taken to ensure that this data is held in confidence and in line with the facilities, and SHS Data Protection Policies and in line with the guidance specified in the Data Protection Act 1998 (the Act) and any other relevant regulation.
The Site and Services are intended for business use only and as such only persons who are 18 or older and/or are Corporations, Government agencies or instrumentalities, charitable institutions, partnerships, companies and sole traders will be permitted to undertake transactions between the school or potential hires. Any access to or use of the Site or Services by anyone under 18 is expressly prohibited. By accessing or using the Site or Services you represent and warrant that you are 18 or older.
- Breaches of these Terms and Conditions
Without prejudice to our other rights under these Terms, if you breach these Terms in any way, or if we reasonably suspect that you have breached these Terms in any way, we may:
send you one or more formal warnings;
temporarily suspend your access to our Platform;
permanently prohibit you from accessing our Platform;
block computers using your IP address from accessing our website;
using your account, block your access and use of our application;
contact any or all your internet service providers and request that they block your access to our Platform;
commence legal action against you, whether for breach of contract or otherwise; and/or
suspend or delete your account on our Platform.
